RELEASE AND PERMISSION AGREEMENT

You have been invited to participate in an online video project (the “Community”) conducted by Communispace Corporation (“C Space”) on behalf of Omnicom (“Sponsor”). Participation in this project is entirely optional and is not an activity required of employees of Omnicom companies. For more information about C Space, see its website at http://www.cspace.com. For more information about the Sponsor, please refer to your Community.

In order to participate in the project, we ask that you read, understand and agree to the important Terms and Conditions below as these Terms govern your access to, use of, and participation in the Community. Your use of the Community is also subject to C Space website terms of use, available at https://www.cspace.com/terms-of-use/.

I hereby consent and grant to Communispace Corporation (“C Space”) and its designees the following rights:

1. To use or to take, obtain or make photographs, audio, video and/or digital recordings that may contain my voice, image, and/or likeness and to take, record, or obtain testimonials or other statements from me (the “Materials”); and

2. To use, reproduce, display, modify, distribute, publish, create derivative works from, and otherwise use, in whole or in part, the Materials for commercial and business purposes worldwide, in perpetuity, including but not limited to: (a) in any and all media now or hereafter known, including, without limitation, in videotapes, audio recordings, electronic media, digital media, television or radio broadcasts, podcasts, webcasts, digital images, photographs and print publications; (b) in audio, video, electronic and digital media files made available for download or streaming from C Space or third party web sites; (c) in C Space's internal and public websites; (d) in printed, electronic media, and digital media distributed to C Space employees and present and potential clients; (e) in printed, electronic media and digital media distributed at C Space sponsored or co-sponsored events; and/or (f) in excerpts included in speeches, slides, brochures, electronic media, digital media and all other marketing collateral relating to C Space.

In granting this consent, I understand and agree that:

a) the Materials may or may not contain attributions specifically identifying me;

b) my testimonials or statements reflect my honest opinions or experience;

c) C Space or its designees shall have the right to modify, edit, reproduce, display, or otherwise disseminate the Materials, in whole or in part;

d) C Space or its designees may crop, edit and otherwise alter the Marketing Materials and combine them with other text, images, graphic elements, and/or other materials;

e) with respect to the Materials and any derivative works thereof, C Space and/or its assignees solely have the right to copyright and to exploit such copyrighted material embodied in or represented by the Materials;

f) I have no right of approval and no right to inspect or preview the Materials and any derivative works thereof, or any use to which they may be put;

g) I have no claim, now or in the future, to any compensation, attribution or other similar right relating to or arising out of the Materials or their use as described in this Agreement.

On behalf of myself, my heirs and any of my representatives and assigns, I hereby waive, discharge, and release C Space and its officers, directors, employees, agents, representatives, successors and assigns, and those acting under their authority from any and all rights, demands, losses, liabilities, claims and causes of action whatsoever which I may now or hereafter be entitled to assert relating directly or indirectly to the Materials. I further hereby release and discharge C Space and its employees, agents, successors, and assigns from any and all claims I might have in connection with the use, display, dissemination or exploitation of the Materials, including, but not limited to, any claims for defamation, invasion of privacy, right of publicity, rights in my name, image, voice or likeness, and/or violation of any moral or artist rights.
