Member Agreement/Terms and Conditions
You have been invited to participate in an online market research project (the “Panel”) conducted by C Space Corporation on behalf of its client, E*TRADE Financial Corporation (“Sponsor”). For more information about C Space, see its website at www.cspace.com. For more information about the Sponsor, please refer to your Panel.
In order to participate in the Panel, we ask that you read, understand and agree to the important Terms and Conditions (“Terms”) below as these Terms govern your access to, use of, and participation in the Panel. Your use of the Panel is also subject to C Space’s website terms of use, available at www.cspace.com/terms-of-use.
Your Panel Account
Please do not share your Panel log-on credentials with anyone. You received your invitation to participate in the Panel based on specific criteria and the invitation was meant for you only. Your inclusion in the Panel was based on information you have provided that meets Panel selection criteria. C Space and/or the Sponsor may terminate your access to the Panel or to your account without notice to you at C Space or the Sponsor’s discretion, including if you share your Panel access information with anyone, if you misrepresent information relevant to the Panel selection criteria, if you violate the Panel Code of Conduct, if the market research goals of our Sponsor change, if you fail to actively participate in Panel activities, or if you fail to comply with any of the Terms.
If you register for any feature of the Panel that requires a password and/or username, then you will select your own password at the time of registration (or we may send you an email notification with a randomly generated initial password) and you agree that: (i) You will not use a username (or e-mail address) that is already being used by someone else, may impersonate another person, belongs to another person, violates the intellectual property or other right of any person or entity, or is offensive. We may reject the use of any password, username, or e-mail address for any other reason in our sole discretion; (ii) You will provide true, accurate, current, and complete registration information about yourself in connection with the registration process and, as permitted, to maintain and update it continuously and promptly to keep it accurate, current, and complete; (iii) You are solely responsible for all activities that occur under your account, password, and username—whether or not you authorized the activity; (iv) You are solely responsible for maintaining the confidentiality of your password and for restricting access to your Device so that others may not access any password protected portion of the Site using your name, username, or password; (v) You will immediately notify us of any unauthorized use of your account, password, or username, or any other breach of security; and (vi) You will not sell, transfer, or assign your account or any account rights.
We will not be liable for any loss or damage (of any kind and under any legal theory) to you or any third party arising from your inability or failure for any reason to comply with any of the foregoing obligations. If any information that you provide, or if we have reasonable grounds to suspect that any information that you provide, is false, inaccurate, outdated, incomplete, or violates these Terms or any applicable law, then we may suspend or terminate your account.
Earning Incentives
The Panel offers you the ability to accumulate and earn incentives and rewards such as Amazon.com gift cards (collectively, “Incentives”) solely for yourself. The Panel is structured to offer Incentives based on active participation in the Panel. From time to time, we may establish, at our sole discretion, activities pursuant to which you may “earn” Incentives (“Qualifying Activities”). Examples of “Qualifying Activities” include but are not limited to: participating in surveys and other marketing research opportunities offered by Sponsor in the Panel. Qualifying Activities may be added, discontinued or be made available again, at any time, and from time to time in Sponsor’s sole and absolute discretion.
We may offer the ability to track your incentives in your Panel account. Incentives are always subject to verification and eligibility determined by us, in our sole and absolute discretion. Panel participation will be credited only to the individual member completing the Qualifying Activity. For rules and requirements regarding earning of Incentives, please review the descriptions of each specific Qualifying Activity. You are responsible for ensuring that your participation and any eligible Incentives are credited accurately. If you believe that an Incentive has been earned but not properly credited, you may be required to submit supporting documentation or proof to C Space to correct the discrepancy. Such requests must be submitted within seventy-five (75) days after Qualifying Activity completion. Incentives subsequently determined, in the sole discretion of Sponsor, to be invalid, will be forfeited. Incentives are not transferable and may not be combined among members. You forfeit all Incentives immediately upon termination from the Panel regardless of the circumstances of termination.
We reserve the right, in our sole discretion, at any time during the duration of the Panel to: (i) change the number of Incentives awarded, or to award no Incentives, for any particular Qualifying Activity, (ii) offer additional or new Qualifying Activities for a limited time or permanently, (iii) delete any or all means to earn Incentives, (iv) limit the number of times or frequency you may earn Incentives for engaging in a Qualifying Activity or engaging in the activity during a specific time period, and (v) offer Incentives earning opportunities to select groups of Panel members. Also, Sponsor may offer Incentives for engaging in a Qualifying Activity under one set of rules and may opt not to offer Incentives for engaging in that same activity under a subsequent offer.
If applicable, any points earned for any Qualifying Activity are considered a limited, non-exclusive, revocable, non-assignable, personal, and non-transferable right solely for use towards the earning of Incentives. Accordingly, you have no property, proprietary, intellectual property, ownership, or monetary interest in your points, which remain Sponsor property at all times. Points have no “real world” or cash value and are not redeemable for cash, transferable or assignable for any reason or otherwise by operation of law. Points have no purpose or use except in exchange for Incentives offered via the Panel. Accordingly, you may not purchase, sell, barter, or trade any Incentives, or offer to purchase, sell, or trade any Incentives or other virtual items. Any attempt to combine or transfer points in any other manner will result in disqualification from the Panel and forfeiture of all points.
Incentives will not be valid unless earned in strict compliance with the requirements as established and intended by us, and you shall not attempt to earn Incentives by any means (including, without limitation, by using any script, bot or other automated means) that only simulates compliance with the applicable requirements. Sponsor reserves the right to take any other or additional action it deems appropriate, in its sole discretion, in the event that Sponsor believes, in its sole discretion, that you have violated these Terms. You agree to abide by Sponsor’s final and binding decisions regarding the Panel and your participation in it.
If requested, you agree to sign an affidavit, release of liability, publicity release or similar agreement if requested by us prior to receiving your Incentive. You are responsible for all applicable taxes, including income tax liability, associated with any Incentive acquired in the Panel. C Space will issue an IRS Form 1099 to you if you obtain any Incentives with a combined total value equal to $600 or more in any single calendar year. Additionally, if you obtain any Incentives with a combined total value equal to $600 or more in any single calendar year, you will be required to provide your Social Security Number within the timeframe specified for tax reporting purposes.

Sponsor Materials and Intellectual Property
Content made available by and trademarks and other intellectual property of Sponsor are used with permission and may not be modified, reproduced, copied or distributed without permission.
As part of your participation in the Panel, you will be asked to answer certain questions and participate in various activities. In some cases, you may be asked to provide personal contact information, such as your name, address, and email address. In addition, we may collect sensitive personal information (e.g. ethnicity, income, education, etc.) for the purposes of creating a balanced Panel reflective of the consumer population; this information is not collected for, nor is it used for, any discriminatory purpose. You do not have to answer any question or submit any sensitive information if you are not comfortable.
Any information you provide may
be used in the following ways:
a) to determine whether you meet the criteria for a Panel
b) to communicate with you regarding your participation in a Panel
c) for market research conducted on behalf of E*TRADE through your Panel
d) to analyze, evaluate and/or improve C Space’s services and market research
tools
Although unlikely, your personal information may be disclosed to the government, courts, law enforcement, or regulatory agencies under a lawful order in a jurisdiction where you are resident or where your personal information is stored and/or processed. You cannot opt out of disclosure of your personal information if required by lawful order.
C Space will only use your information in accordance with the terms of this Agreement and C Space’s privacy policy, a copy of which is available at www.cspace.com/privacy_en-us. In most cases, your Panel activities are shared with the Sponsor only in aggregate form and are not combined with your personal contact information (such as your full name or email address). C Space may, however, combine and include in reports to the Sponsor any of the content you submit to the Panel, including quotes, photos, videos, and Panel activity participation information. In some cases, C Space may also share your personal contact information with the Sponsor or the Sponsor may have direct access to the Panel. In these circumstances, your personal information may be handled in accordance with the Sponsor’s privacy policy, available at http://www.etrade.com/privacy. If C Space or its Sponsor would like to use your information or content for any purpose other than those set forth above, we will ask for your explicit consent before doing so.
By accepting this Agreement and by submitting your information and participating in any Panel, you explicitly consent to use of your personal information consistent with the terms of this Agreement and the privacy policies applicable to your Panel.
If you do not want your personal information collected and/or used in this way, please do not submit it to us. If you have already submitted this information and would like us to correct or remove it from our records, please contact the Panel facilitator at helpdesk@cspace.com.
Storage and Processing of Personal Information
Personal information collected on the site may be hosted, stored, processed and/or supported in your country of residence or any other country in which C Space, its Sponsor or its subcontractors or agents maintain facilities. By clicking on the “I Agree” button below, you explicitly consent to any transfer of information outside your country of residence.
Use of Cookies
Cookies are small pieces of information that are sent from our website and stored on your computer or mobile device to help us remember information about how you use our website and access the Panel. For more information about the specific cookies we use, please see our privacy policy. We use cookies on this site to remember your email address and/or preferences and to improve the activities on our site and within our Communities. By clicking on the “I Agree” button below and by participating in an online Panel, you consent to our use of cookies to track your session activity for these purposes. If you don’t consent to our using cookies to track your session activity, you may not be able to access or use the Panel and/or the site.
Confidentiality
As a member of the Panel, you may have access to ideas or information that are and should remain confidential. Please do not share confidential ideas or information with anyone, unless we tell you otherwise or disclosure is required by local law. If confidential information is released, we may have to remove the Panel member(s) who released the information, or we may have to shut down the Panel entirely.
Material That You Share With the Panel
By agreeing to these terms, and participating in the Panel, you irrevocably assign to C Space and the Sponsor all rights, title, and interest in any content or other materials, including, without limitation, ideas or expressions of ideas that you provide during your participation in the Panel. Without limitation, Sponsor, and each of its successors, assigns and licensees, will have the right to make unlimited derivative works of the submission, to assign or transfer any or all such rights and to grant unlimited, multiple-level sublicenses.
The rights granted in my submission shall include, without limitation, all copyrights, neighboring rights, trademarks, service marks, naming rights and any and all other ownership and exploitation rights in the submission now or hereafter recognized in any and all territories and jurisdictions including, by way of illustration, production, reproduction, distribution, adaptation, performance, fixation, rental and lending rights, exhibition, broadcast and all other rights of communication to the public, and the right to exploit the submission throughout the universe in perpetuity in all media, markets and languages and in any manner now known or hereafter devised. I hereby irrevocably give and grant to Sponsor the right to adapt, change, edit, modify, add to, delete, combine with other materials, record, reproduce, distribute and otherwise exploit my submission by any means now known or hereafter devised. I hereby forever waive and relinquish all so-called “moral rights (droit moral)” now or hereafter recognized in connection with my submissions.
All content, comments, suggestions, graphics, photos, videos, submissions, ideas (including product and advertising ideas), and other information or materials you submit, post, upload, or otherwise provide through the Panel will become and remain the exclusive property of the Sponsor, including any future rights associated with such submissions, even if these Terms are later modified or terminated. This means that you disclaim any proprietary rights in such submissions, and you acknowledge C Space and the Sponsor’s unrestricted right to use and/or assign or otherwise transfer them (or materials or ideas similar to them) in any medium, now and in the future, without notice, compensation or other obligation to you or any other person. In order to further effect the rights that you grant to Sponsor to your user-generated content, you also hereby grant to Sponsor the unconditional, perpetual, irrevocable right to use and exploit your name, persona, and likeness in connection with any user-generated content, without any obligation or remuneration to you. Except as prohibited by law, you hereby waive, and you agree to waive, any moral rights (including attribution and integrity) that you may have in any user-generated content, even if it is altered or changed in a manner not agreeable to you. You understand that you will not receive any fees, sums, consideration, or remuneration for any of the rights granted in this Section other than the rewards earned in the Panel.
Release and Waiver
You further agree to release and waive all claims against C Space and the Sponsor with respect to any intellectual property or other proprietary rights, rights of privacy and publicity, rights of attribution, or any other liability under the applicable laws. You agree to indemnify, defend, and hold C Space and the Sponsor harmless and against from all claims, actions, damages, costs, judgments, investigations, liabilities, fines, penalties, or expenses of any kind whatsoever (including reasonable attorneys’ fees except as provided herein), which may be obtained against, suffered by, or imposed upon C Space, the Sponsor, and/or their officers, directors, agents or affiliates as a result of any claim arising from or related to: (i) your user-generated content; (ii) your use of the Panel and your activities in connection with the Panel; (iii) your breach or alleged breach of these Terms; (iv) your violation or alleged violation of any laws, rules, regulations, codes, statutes, ordinances, or orders of any governmental or quasi-governmental authorities in connection with your use of the Panel or your activities in connection with the Panel; (v) information or material transmitted through your device, even if not submitted by you, that infringes, violates, or misappropriates any copyright, trademark, trade secret, trade dress, patent, publicity, privacy, or other right of any person or entity; (vi) any misrepresentation made by you; and (vii) Sponsor’s use of the information that you submit to us (including your user-generated content) (all of the foregoing, “Claims and Losses”). You will cooperate as fully required by Sponsor in the defense of any Claims and Losses. Notwithstanding the foregoing, Sponsor retains the exclusive right to settle, compromise, and pay any and all Claims and Losses. Sponsor reserves the right to assume the exclusive defense and control of any Claims and Losses. You will not settle any Claims and Losses without, in each instance, the prior written consent of an officer of Sponsor.
Third Party Sites and Application
Your participation in your Panel may require use of mobile device services, including data and/or messaging services. Please be aware that your normal carrier’s rates and fees, such as text messaging fees or data usage fees, will apply and C Space is not responsible for any charges that may be incurred by you during participation in any mobile device-based Panel.
The Panel may include links to third party sites or services, including links added by Panel members. The links are contained within the Panel for informational purposes only. If you access any of the links to Internet sites, content, or videos accessible through the Panel, but maintained by third parties, you do so at your own risk, and C Space and the Sponsor are not responsible for their contents, or how they treat your personal information.
To the extent your Panel uses or links to third party sites, applications or services, your use of such sites, applications or services may also be governed by the privacy policies and terms of use of the third party sites and/or applications. We encourage you to review any privacy policies and other agreements that may be applicable to your use of any such third party sites and/or applications.
C Space and the Sponsor are not responsible for the use of your information by these third parties and C Space makes no guarantee that such third party sites or applications are free from computer viruses or malware. C Space and the Sponsor expressly disclaim all liability for any losses, costs or expenses that you suffer as a result of your use of these third party sites, services and/or applications.
Member Appreciation
C Space and the Sponsor value your participation in the Panel. In appreciation for sharing your views and perspectives, we may offer certain member appreciation programs to members from time to time. It is your responsibility to determine the amount of and pay any taxes or duties associated with the awards you earn. At any time and for any reason, we may suspend or cancel the member appreciation program. If You Have Questions
Any questions regarding your participation in the Panel should be directed to your C Space Panel facilitator.
Notification of Changes
We reserve the right to and may change or revise these Terms at any time. Please visit the Member Agreement area each time you visit the Panel to keep up-to-date with the current Terms. Your use of and participation in the Panel confirms your continuing agreement to the then-current Terms.
Disclaimer, Limitation of Liability and Indemnity
C SPACE AND/OR THE PANEL SPONSOR DO NOT REPRESENT OR ENDORSE THE CORRECTNESS, ACCURACY, RELIABILITY OR ANY OTHER ASPECT OF ADVICE, OPINION, STATEMENT OR OTHER INFORMATION DISTRIBUTED THROUGH THE ONLINE PANEL, AND RESERVE THE RIGHT TO REMOVE ANY CONTENT FROM THE PANEL WEBSITE THAT IT DEEMS INAPPROPRIATE.
C SPACE, THE PANEL SPONSOR, AND/OR THEIR AGENCIES ENDEAVOR TO MAINTAIN THIS PANEL AND ITS OPERATION, BUT ARE NOT, AND CANNOT BE, RESPONSIBLE FOR THE RESULTS OF ANY DEFECTS THAT MAY EXIST IN THE WEBSITE, CONTENT/INFORMATION MADE AVAILABLE, THE PANEL OR ITS OPERATION. AS TO THE OPERATION OF THE WEBSITE AND/OR THE PANEL, C SPACE AND THE PANEL SPONSOR EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ALL IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. C SPACE AND THE PANEL SPONSOR MAKE NO WARRANTY THAT (I) THE OPERATION OF THE WEBSITE AND/OR PANEL WILL MEET THE USER’S REQUIREMENTS; (II) ACCESS TO THE WEBSITE AND/OR PANEL WILL BE UNINTERRUPTED, TIMELY, SECURE, FREE OF VIRUSES, WORMS, TROJAN HORSES OR OTHER HARMFUL COMPONENTS, OR FREE OF DEFECTS OR ERRORS; (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE WEBSITE AND/OR PANEL WILL BE ACCURATE OR RELIABLE; OR (IV) DEFECTS WILL BE CORRECTED; OR (V) THAT THE CONTENT/INFORMATION MADE AVAILABLE IS ACCURATE, COMPLETE, RELIABLE, CURRENT OR ERROR-FREE. YOU (AND NOT C SPACE OR THE PANEL SPONSOR) ASSUME THE ENTIRE COST OF ALL SERVICING, REPAIR, OR CORRECTION THAT MAY BE NECESSARY FOR YOUR COMPUTER EQUIPMENT, MOBILE DEVICE, AND SOFTWARE AS A RESULT OF ANY VIRUSES, ERRORS OR ANY OTHER PROBLEMS WHATSOEVER YOU MAY HAVE AS A RESULT OF VISITING THIS WEBSITE AND/OR PANEL. IF ANY APPLICABLE STATUTORY LAW IMPLIES INTO THIS AGREEMENT ANY WARRANTY WHICH CANNOT BE EXCLUDED, THEN SUCH WARRANTY WILL APPLY BUT ONLY TO THE EXTENT THAT IT CANNOT BE SO EXCLUDED.
UNDER NO CIRCUMSTANCES SHALL C SPACE, THE PANEL SPONSOR AND/OR THEIR AGENCIES BE LIABLE FOR ANY DAMAGES OR INJURY, INCLUDING ANY DIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR OTHER DAMAGES, THAT MAY RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE WEBSITE AND/OR PANEL OR ANY MATERIALS IN THIS PANEL, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE WEBSITE AND/OR PANEL OR INFORMATION AVAILABLE IN THE WEBSITE AND/OR PANEL. C SPACE AND THE PANEL SPONSOR SHALL NOT BE LIABLE EVEN IF C SPACE, THE SPONSOR, OR AN AUTHORIZED REPRESENTATIVE OF EITHER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE INCLUDE BUT ARE NOT LIMITED TO DAMAGES OR INJURY CAUSED BY ERROR, OMISSION, INTERRUPTION, DEFECT, FAILURE OF PERFORMANCE, DELAY IN OPERATION OR TRANSMISSION, LINE FAILURE OR COMPUTER VIRUS, WORM, TROJAN HORSE OR OTHER HARMFUL COMPONENT, AND INCLUDE LOSS OF USE, DATA OR OTHER ECONOMIC ADVANTAGE. YOU AGREE TO DEFEND, INDEMNIFY AND HOLD C SPACE, THE PANEL SPONSOR AND/OR THEIR AGENCIES HARMLESS FROM ANY CLAIM OR DEMAND MADE BY ANY THIRD PARTY AGAINST C SPACE, THE SPONSOR AND/OR THEIR AGENCIES DUE OR ARISING OUT OF YOUR PARTICIPATION IN THE C SPACE ONLINE PANEL.
YOU HEREBY AGREE TO RELEASE C SPACE, THE SPONSOR, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM CLAIMS, DEMANDS AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED (“CLAIMS”), ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THIS SITE AND/OR PANEL. YOUR SOLE AND EXCLUSIVE REMEDY SHALL BE FOR YOU TO DISCONTINUE YOUR USE OF THIS WEBSITE AND THE PANEL. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SPONSOR’S TOTAL LIABILITY TO YOU, FOR ALL POSSIBLE DAMAGES, LOSSES, AND CAUSES OF ACTION IN CONNECTION WITH YOUR ACCESS TO AND USE OF THE PANEL AND YOUR RIGHTS UNDER THESE TERMS, EXCEED AN AMOUNT EQUAL TO THE AMOUNT YOU HAVE EARNED IN REWARDS FROM ACCESSING AND USING THE PANEL. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES, IN PART: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, would HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
Waiver of Injunctive or Other Equitable Relief
IF YOU CLAIM THAT YOU HAVE INCURRED ANY LOSS, DAMAGES, OR INJURIES IN CONNECTION WITH YOUR USE OF THE PANEL, THEN THE LOSSES, DAMAGES, AND INJURIES WILL NOT BE IRREPARABLE OR SUFFICIENT TO ENTITLE YOU TO AN INJUNCTION OR TO OTHER EQUITABLE RELIEF OF ANY KIND. THIS MEANS THAT, IN CONNECTION WITH YOUR CLAIM, YOU AGREE THAT YOU WILL NOT SEEK, AND THAT YOU WILL NOT BE PERMITTED TO OBTAIN, ANY COURT OR OTHER ACTION THAT MAY INTERFERE WITH OR PREVENT THE DEVELOPMENT OR EXPLOITATION OF ANY WEBSITE, APPLICATION, CONTENT, USER-GENERATED CONTENT, PRODUCT, SERVICE, OR INTELLECTUAL PROPERTY OWNED, LICENSED, USED OR CONTROLLED BY SPONSOR (INCLUDING YOUR LICENSED USER-GENERATED CONTENT) OR A LICENSOR OF SPONSOR.
Severability
If any part of this Agreement shall become void or invalid by virtue of law or government order, the remaining parts remain valid and enforceable and the void or invalid provision(s) shall be replaced by such valid provision(s) reflecting closest the commercial intentions of this Agreement.
Applicable Law
The laws of the Commonwealth of Massachusetts will apply to any dispute of any kind relating to your use of the Panel. If you take any legal action relating to your use of the Site or the Panel, you agree to file such legal action only in the state or federal courts located in Suffolk County, Massachusetts and consent to the jurisdiction and venue of such courts.
Investigations; Cooperation with Law Enforcement; Termination; Survival.
Sponsor reserves the right, without any limitation, to: (i) investigate any suspected breaches of its Panel security or its information technology or other systems or networks, (ii) investigate any suspected breaches of these Terms, (iii) investigate any information obtained by Sponsor in connection with reviewing law enforcement databases or complying with criminal laws, (iv) involve and cooperate with law enforcement authorities in investigating any of the foregoing matters, (v) prosecute violators of these Terms, and (vi) discontinue the Panel, in whole or in part, or suspend or terminate your access to it, in whole or in part, including any user accounts or registrations, at any time, without notice, for any reason and without any obligation to you or any third party. Any suspension or termination will not affect your obligations to Sponsor under these Terms. Upon suspension or termination of your access to the Panel, or upon notice from Sponsor, all rights granted to you under these Terms will cease immediately, and you agree that you will immediately discontinue use of the Panel. The provisions of these Terms (including the terms applicable to user-generated content), which by their nature should survive your suspension or termination will survive, including the rights and assignments you grant to Sponsor in these Terms, as well as the indemnities, releases, disclaimers, and limitations on liability and the provisions regarding jurisdiction, and choice of law.
